P&G to acquire Gillette for US$57 billion

New York —American manufacturing giant Proctor & Gamble (P&G) plans to acquire Gillette Co. for US$57 billion in stock. The purchase plan calls for P&G to swap 0.975 shares of its stock per share of Gillete Co. P&G also announced a stock buyback program in which they would purchase up to US$22 billion of shares over the next 18 months. Including the stock buyback program, the merger is being financed by 60 percent stock and 40 percent cash.

P&G is known for brands such as Ariel and Tide washing powder, Max Factor cosmetics, Pringles potato crisps (chips) and Hugo Boss and Lacoste perfumes.

Gillette, known for brands such as Gillette razors, Oral B dental care, and Duracell batteries, has had growing problems with the growth of private labels and price cuts demanded by large supermarkets.

After the acquisition is completed, Gillette’s CEO James Kilts will be P&G’s vice-chairman. Kilts said that he expects that this acquisition will cause additional mergers to take place.

“I believe the consumer product industry needs to consolidate,” said Kilts, “we believe we can bring these companies together and create a juggernaut.”

P&G and Gillette have a combined market capitalization of about $185 billion US, which will make it the largest in the sector.

The early morning announcement states that 6,000 employees will be eliminated. Most of the layoffs will result from reducing overlapping management positions and other supporting positions within the combined company.

Antitrust regulators in the US and Europe plan to review the acquisition, to determine whether the combined company will have too much power over pricing and shelf space.

P&G plans to provide additional details about the merger Friday morning (East Coast time) in New York.

US President Bush nominates new surgeon general

Yesterday, United States President George W. Bush nominated James W. Holsinger as the next Surgeon General of the United States.

Today, I have announced my intention to nominate James W. Holsinger, Jr., to serve as the 18th Surgeon General of the United States. Dr. Holsinger is an accomplished physician who has led one of our Nation’s largest healthcare systems, the State of Kentucky’s healthcare system, and the University of Kentucky’s medical center.
 

Since August 1, 2006, Kenneth P. Moritsugu has been the acting surgeon general. Richard Carmona was the last surgeon general. He left when his four year term expired at the end of July, 2006.

Swiss reject single health insurance

24 of 26 Swiss Cantons rejected the proposal for a single health insurance system, in which premiums would be based on income and wealth. The vote on Sunday was the latest in a series of attempts to cut rising costs and ease the financial burden on citizens.

Around 71% of voters rejected the reform. Turnout was at about 46%, slightly above the Swiss average.

As expected, voters in the main German-speaking part of the country turned down the planned reform, which was supported by the centre-left but opposed by the centre-right as well as the business community, parliament and the government.

Opposition in the French and Italian speaking regions was less pronounced. The cantons Jura and Neuchâtel in the French speaking regions voted in favor of the proposed reforms.

Health insurance premiums are higher in southern and western Swiss cantons than in German-speaking areas.

The Swiss Interior Minister Pascal Couchepin said an important part of the Swiss Population appeared to be opposed to “a revolution” in health insurance but he said that he wanted current reforms currently under discussion in the Swiss Parliament to go ahead. He called on all sides, especially health insurers and the cantonal authorities, to make efforts to reduce spending on health insurance and aim for a greater cost efficiency. Currently Switzerland has 87 private insurers providing mandatory basic health care coverage for Swiss residents under a 1996 law. But costs have sky-rocketed. Over 100,000 people are not covered by health insurance due to non payment.

Opponents to the initiative argued that a single insurance system would lead to complacency and create a two-tier system, in which the wealthy would be the only ones available to afford to have additional private insurance coverage.

Supporters of the initiative said a single health insurer would increase the system’s efficiency and allow for annual savings of at least 300 million Swiss Francs (about $245 million) in administrative costs. Currently, the funding system is unbalanced, since many clients on low incomes use state subsidies to pay their premiums, according to the Green Party and the Social Democrats.

The initiative to unite all the insurance companies and introduce premiums based on wealth and income was the most recent in a series of attempts over the past ten years to reduce the public spending on health care. A proposal, similar to this recent proposal, to modify the funding system of the health insurance companies was rejected by 73% of voters in 2003.

Switzerland has the most expensive health system in Europe. Switzerland’s expenditure on health care was 11.6% in 2005, in front of Germany and France but behind the United States.

State Farm Insurance allegedly destroying papers

Zach Scruggs, a lawyer for United States Senator Trent Lott, says that State Farm Insurance Company is destroying records related to claims for damage from Hurricane Katrina.

The records allegedly contain information saying that State Farm fraudulently denied insurance claims made by its policy holders, including Lott, that had homes there were damaged or destroyed when Hurricane Katrina came ashore on the Gulf Coast.

Scruggs said that Lott has “good faith belief” that many employees of the insurance company in Biloxi, Mississippi are destroying engineer’s reports that were inconclusive as to whether or not water or wind was the main cause of damage to the buildings affected by the hurricane.

Lott is among thousands of home and/or business owners who had their property damaged or destroyed during the hurricane and had their claims denied because State Farm claimed that their policies don’t cover damage caused by floods or water that was driven by the wind.

State Farm has not issued a statement on the matter so far.

Peter Andren, Australian MP dies aged 61

Australian federal member of Calare, Peter Andren died on Saturday after a short battle with pancreatic cancer. He was aged 61.

Mr Andren who had held the seat since being elected in 1996 had previously announced his intention to run for the senate after his electorate was changed for the 2007 federal election. After Mr Andren was diagnosed with cancer in July, he announced that he would be retiring from politics at the election.

Mr Andren’s 1996 campaign platform was based upon retaining services in regional Australia, particularly banking, health and telecommunications. Over the next 11 years, Mr Andren’s primary vote grew and at the 2001 and 2004 elections was elected without preferences, achieving a majority primary vote.

In 2001, Mr Andren disagreed with his electorate on refugees. The electorate supported the government’s tough stance but Mr Andren could not support the government’s border protection measures. Following this, a vicious letter-box campaign rose up saying “you might like Peter Andren … but you won’t like what he’s got to say about keeping our borders safe”.

Fellow NSW independent member, Tony Windsor said Mr Andren’s stance on asylum seekers was just one sign of his compassion and strong belief in human rights.

Mr Windsor described Mr Andren as the “conscience” of parliament. “Peter Andren was a true representative of the people of the Calare electorate, a man of the highest integrity and the conscience of the Parliament,” he said.

“He was subjected to vitriol from time to time within the Parliament over issues, but if he believed in something he stuck to it. He didn’t compromise and I think that’s a lasting legacy that Peter will leave.”

Prime Minister John Howard said despite having a difference of opinion with Mr Andren on many issues, he had a lot of respect for him.

“I respected his skills as a local member,” he said.

“Mr Andren and I frequently disagreed on major issues and he made no bones about that and I made no bones about it either but that didn’t stop me respecting him and acknowledging the tremendous work he did for his electorate.”

Labor leader Kevin Rudd described Mr Andren as a true independent.

“Peter Andren will be a great loss to the Australian parliament,” he said.

“He was a man of principle, a man of commitment, a man who was an absolute independent.”

Leader of the Greens, Bob Brown said Mr Andren was an example of how a politician should be.

“He was an exemplar of representative politics for his electorate and the people of Calare kept returning him with a bigger and bigger majority,” he said.

“[If] anybody ever asks me how a politician should be, I am going to say, ‘Look at the record of Peter Andren'”

“He was a great Australian representative and he is a great loss to this country.”

During his political career, Mr Andren fought the sale of Telstra, introduced a bill to allow MPs to opt-out of their generous superannuation schemes, opposed the Iraq war and campaigned on environmental issues.

Mr Andren was born at Gulargambone, near Dubbo in Western NSW in 1946. Before he entered politics Mr Andren worked as a teacher before moving into journalism. Mr Andren worked as a news producer in Sydney for the Seven and Nine networks, before moving back to regional NSW where he worked as the news editor for both Radio 2GZ and Prime Television.

Mr Andren is survived by his partner and two sons.

Australia wins dramatic second Ashes Test

Australia has clinched a dramatic win in the second 2006-07 Ashes Test match in Adelaide. In a massive swing of dominance and control, England forfeited a huge advantage on the fifth and final day after controlling the Test for the first four.

England won the toss and batted first on the Adelaide Oval wicket. After losing a couple of early wickets, they recovered to amass 6-551 dec. spanning the opening two days. Paul Collingwood scored a patient 206, whilst teammate Kevin Pietersen built an innings of 158 in a much more brief fashion.

In response, Australia began their first innings poorly, losing Matthew Hayden before the close of play on day 2. On the morning of day 3, Justin Langer and Damien Martyn also fell cheaply. However, a captain’s effort by Ricky Ponting (142) and support by Michael Clarke (124), as well as cameos by Adam Gilchrist and Shane Warne, helped the Aussies to just shy of England’s massive total. Matthew Hoggard was the shining light for the visitors, taking 7-109.

England resumed the fifth day at 1-59, and the match looked headed for a draw. Australia reached the target with 19 balls to spare, at 6:45pm local time.

No team had lost after declaring on as high a total batting first as England did in more than 125 years of Tests. As a Nine Network commentator described it, “Australia has just won the most extraordinary Test match; however, it was [a Test] that England should never have lost”. Prior to the start of play, bookmakers had a draw paying $1.02.

Australia now go into the third test at the WACA ground in Perth, Western Australia knowing one more win will reclaim the Ashes urn which they lost for the first time in over a decade in England during 2005.

Ricky Hatton regains IBF light welterweight title

Ricky “The Hitman” Hatton regained the IBF light welterweight title belt he relinquished less than 12 months ago when he defeated Juan Urango in Las Vegas, Nevada tonight.

“The Hitman” won by unanimous decision, as the fight went to 12 rounds. Despite early match odds suggesting Hatton would dominate the fight, this was not the case. Each round was close, but most pundits and judges alike agreed that Urango only won 1 of the 12 rounds, with Hatton taking the other 11.

Despite the unfamiliar confines of Las Vegas, Hatton looked touched by the ringing of football fan-like chants, familiar in British boxing, that rang around the arena, as more than half of it was filled by traveling support from across the atlantic.

Many in the UK will hope Hatton has ended the “curse” that has seen names such as Frank Bruno, Naseem Hamed, Barry McGuigan and others fall short while headlining fights on “The Strip”.

From here, it is widely believed “The Hitman” will move on to fight Jose Luis Castillo in June, again likely in Vegas.
